VIB AI Terms of Service

1. Acceptance of Terms

By accessing or using VIB AI, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree to these Terms, you must not use our Services.

2. Description of Services

VIB AI is a Web3 platform that provides quest management, staking features, guild participation, reward distribution systems, and related services. The Services may include:

• Quest discovery and participation
• Token staking and unstaking
• Guild creation and management
• Reward earning and distribution (including points, USD, and other incentives)
• Social features and referral programs
• Integration with blockchain networks and digital wallets

3. Eligibility

By using the Services, you represent and warrant that:

• You are at least 18 years old or the age of majority in your jurisdiction;
• You have the legal capacity to enter into these Terms;
• You are not located in, or a resident of, any jurisdiction where use of the Services is prohibited by law;
• You will comply with all applicable laws and regulations when using the Services.

4. Account Registration and Security

To access certain features of the Services, you may be required to register an account using email authentication or by connecting a compatible cryptocurrency wallet.

You agree to:

• Provide accurate, current, and complete information during the registration process;
• Maintain and promptly update your account information;
• Maintain the security of your login credentials and wallet private keys;
• Notify us immediately of any unauthorized access to your account;
• Accept responsibility for all activities that occur under your account.

We are not liable for any loss or damage arising from your failure to comply with these security obligations.

5. Wallet Connection and Blockchain Transactions

Certain features of the Services require you to connect a cryptocurrency wallet (e.g., MetaMask, WalletConnect, or other supported wallets).

You acknowledge and agree that:

• VIB AI does not custody your digital assets, does not control your private keys, and cannot access your wallet without your explicit authorization;
• All blockchain transactions (including staking, unstaking, and reward claims) are initiated by you through your own wallet and require your explicit signature approval;
• Blockchain transactions are irreversible. Once confirmed on-chain, we cannot reverse, cancel, or recover transactions;
• You are solely responsible for the security of your wallet and private keys. Loss of access to your wallet may result in permanent loss of assets;
• Network transaction fees (gas fees) are determined by the blockchain network, not by VIB AI, and are borne solely by you.

6. Staking and Rewards

6.1 Staking

The Services may allow you to stake supported tokens to participate in guilds, earn rewards, or access certain platform features.

You acknowledge and agree that:

• Staking may involve lock-up periods during which you cannot withdraw or transfer staked tokens;
• Staked tokens may be subject to slashing, penalties, or loss under certain conditions;
• Staking does not guarantee rewards, and reward rates may change at any time based on platform rules, network conditions, or other factors;
• Unstaking may be subject to delays, cooldown periods, or restrictions;
• You assume all risks associated with staking, including smart contract risks, market volatility, and potential loss of staked assets.

6.2 Rewards and Incentives

VIB AI may offer various forms of rewards, including but not limited to points, USD (Guild Staking Token), airdrops, referral bonuses, and other incentives.

You acknowledge and agree that:

• Points, USD, and other in-platform rewards are provided at our discretion and may be modified, discontinued, or revoked at any time;
• The conversion ratio between points and USD (if applicable) is determined by the Platform and may be adjusted from time to time;
• Points and USD do not represent fiat currency, stored value, securities, or any form of investment, and have no guaranteed monetary value;
• Rewards may be subject to minimum thresholds, withdrawal fees, or other conditions;
• We reserve the right to cancel or claw back rewards obtained through fraudulent or abusive behavior;
• Participation in reward programs does not constitute financial or investment advice.

Tax obligations related to rewards are your sole responsibility. You should consult with a tax professional regarding the tax treatment of any rewards you receive.

6.3 No Guarantee of Rewards

VIB AI does not guarantee the availability, amount, or timing of any rewards. Reward distributions are subject to platform availability, network conditions, and compliance with these Terms. Delays or failures in reward distribution may occur due to technical issues, security concerns, regulatory requirements, or other reasons beyond our control.

7. Guilds

The Services allow users to create or join guilds for collective staking, reward sharing, and community engagement.

You acknowledge and agree that:

• Guild participation is voluntary and may be subject to approval by guild creators or administrators;
• Guild rules, reward distribution, and governance are determined by guild creators and participants;
• VIB AI is not responsible for disputes, disagreements, or losses arising from guild participation or management;
• Guild creators and members are responsible for compliance with these Terms and applicable laws. We may suspend or terminate guilds that violate these Terms or engage in fraudulent, abusive, or illegal activity.

8. Prohibited Conduct

You agree not to:

• Use the Services for any illegal, fraudulent, or unauthorized purpose;
• Violate any applicable laws, regulations, or third-party rights when using the Services;
• Engage in wash trading, market manipulation, self-referral abuse, multi-accounting, bot usage, or any other form of fraudulent or abusive behavior;
• Attempt to gain unauthorized access to the Services, other users' accounts, or our systems and networks;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services;
• Upload, transmit, or distribute malware, viruses, or any other malicious code;
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
• Harass, threaten, defame, or otherwise harm other users;
• Interfere with or disrupt the integrity or performance of the Services;
• Use automated tools (bots, scripts, scrapers) to access or interact with the Services;
• Collect or harvest any personal information from other users without consent.

9. Intellectual Property

All content, features, functionality, software, designs, text, graphics, logos, images, data, and other materials provided on the Services are owned by or licensed to VIB AI and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms. You may not:

• Reproduce, distribute, modify, or create derivative works based on the Services;
• Use the Services for any commercial purpose without our prior written consent;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices.

10. Third-Party Services and Links

The Services may integrate with or link to third-party services, websites, wallets, decentralized applications (dApps), blockchain networks, or other platforms.

You acknowledge and agree that:

• VIB AI does not control, endorse, or assume responsibility for any third-party services, content, or functionality;
• Your use of third-party services is governed by the terms and policies of those third parties;
• VIB AI is not liable for any loss, damage, or harm arising from your use of or reliance on third-party services.

11. Disclaimers

11.1 No Investment or Financial Advice

The Services, including all content, information, staking features, and reward programs, are provided for informational and platform operational purposes only. Nothing on the Services constitutes financial, investment, trading, tax, or legal advice. You should consult with your own professional advisors before making any financial or investment decisions.

11.2 No Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free;
• The results obtained from using the Services will be accurate or reliable;
• Any errors or defects in the Services will be corrected;
• The Services will meet your requirements or expectations.

11.3 Third-Party Risks

You acknowledge that the Services rely on third-party infrastructure, including blockchain networks, smart contracts, wallet providers, and data providers. We are not responsible for the performance, security, availability, or reliability of such third-party services.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VIB AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

• Your access to or use of (or inability to access or use) the Services;
• Any conduct or content of any third party on the Services;
• Unauthorized access to, use of, or alteration of your data or wallet;
• Loss or theft of digital assets, tokens, or rewards;
• Smart contract failures, bugs, or vulnerabilities;
• Blockchain network failures, delays, or congestion;
• Hacking, security breaches, or other cyberattacks;
• Changes in law, regulation, or enforcement;
• Market volatility, token price fluctuations, or other market conditions.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless VIB AI, its affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:

• Your access to or use of the Services;
• Your violation of these Terms;
• Your violation of any rights of any third party;
• Your violation of any applicable laws or regulations;
• Your wallet transactions, staking activities, or guild participation;
• Any content or information you submit, post, or transmit through the Services.

14. Modifications and Termination

14.1 Modifications to Services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts or all of the Services without liability.

14.2 Modifications to Terms

We may revise these Terms from time to time. We will notify you of material changes by posting the revised Terms on the Website and updating the "Effective Date" at the top. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

14.3 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive behavior, or for any other reason at our sole discretion.

14.4 Termination by You

You may stop using the Services at any time. You may also request account deletion through the Platform support channels.

14.5 Effect of Termination

Upon termination of your account, your right to access and use the Services will immediately cease. We may delete your account data in accordance with our Privacy Policy. Termination does not relieve you of any obligations or liabilities that arose prior to termination.

15. Dispute Resolution

15.1 Informal Resolution

If you have any dispute with VIB AI, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice to official@vibai.com. You and we agree to negotiate in good faith to resolve the dispute.

15.2 Binding Arbitration

If we cannot resolve the dispute informally, you and VIB AI agree that any dispute arising out of or related to these Terms or the Services shall be resolved through binding arbitration, except where prohibited by law.

Arbitration will be conducted by a neutral arbitrator in accordance with applicable arbitration rules. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND VIB AI AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE ACTION.

16. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to the Services shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law provisions.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines posted on the Services, constitute the entire agreement between you and VIB AI regarding your use of the Services.

You may not assign or transfer these Terms or your rights and obligations hereunder without our prior written consent. We may assign or transfer these Terms at any time without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, pandemics, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
